# Playstack Pro License

**Draft 0.1, 2026-09-19. Not yet reviewed by counsel.** This text records the
intended terms for paid Playstack packages so that manifests, the registry and
the dashboard can be built against them. It must be reviewed by a lawyer,
given a governing law and a legal entity name, and accepted in the activation
checklist before any package is sold under it.

## 1. Definitions

- **Licensor** means Playstack.
- **Licensee** means the individual or organization that holds the Playstack
  account under which this package was obtained.
- **Software** means this package, including its source, compiled output,
  documentation and any update or new version obtained under this License.
- **Authorized Developer** means, for an Individual subscription, the one
  named person who holds the account; for a Team subscription, each person
  assigned to a purchased seat. Contractors who access the Software count as
  Authorized Developers.
- **Application** means a software product, website, service or internal tool
  that the Licensee builds and that incorporates the Software.
- **Subscription Term** means the period during which the Licensee's Playstack
  subscription is active, including any grace period the Licensor's registry
  policy grants after a lapse.

## 2. License grant

Subject to this License, the Licensor grants each Authorized Developer a
non-exclusive, non-transferable, worldwide license to:

1. install, use, modify and compile the Software to develop any number of
   Applications, including closed-source and commercial Applications;
2. distribute the Software to end users only as an inseparable part of an
   Application, in compiled, bundled or minified form; and
3. deploy Applications on any number of servers, devices and environments.

Nothing in this License requires the Licensee to publish the source code of
an Application or to license an Application under any open-source terms.

## 3. Restrictions

The Licensee must not, and must not permit anyone else to:

1. distribute, publish, sell, lease, lend or sublicense the Software on its
   own, in source or package form, including publishing it to any package
   registry other than the Licensor's;
2. make the Software available in any form that lets a third party use it as
   a library, framework, template, starter kit or component collection for
   building that third party's own software;
3. use the Software to build a product whose primary purpose is to provide
   the same capabilities as Playstack packages to other developers;
4. remove or alter copyright, license or attribution notices;
5. share registry credentials with anyone who is not an Authorized Developer,
   or circumvent seat limits, access controls or release eligibility; or
6. use the Software after this License terminates under section 8.

## 4. Seats

An Individual subscription covers exactly one Authorized Developer. A Team
subscription covers the number of seats purchased. Seats may be reassigned
through the dashboard. Anyone who installs, imports or modifies the Software
in development occupies a seat; end users of an Application do not.

## 5. Subscription, updates and retained versions

During the Subscription Term the Licensee may obtain every release of the
Software that its subscription tier and the Licensor's registry policy make
eligible. When the Subscription Term ends, the Licensee keeps this License for
the versions it obtained during the term and may continue to use them in
existing and new Applications, but has no right to further updates, new
versions or registry access until the subscription is renewed. Renewal restores
eligibility from the date of renewal. A downgrade freezes eligibility for
packages the lower tier does not include.

The Licensor may withdraw a release from distribution, for example for a
security defect. Withdrawal stops further downloads of that release and does
not by itself require the Licensee to remove copies already obtained, unless
the withdrawal notice states that the law requires it.

## 6. Ownership

The Software is licensed, not sold. The Licensor retains all right, title and
interest in the Software. The Licensee owns its Applications and its own code.
Modifications the Licensee makes to the Software remain subject to this
License and may be distributed only under section 2.

## 7. Third-party components

The Software may depend on or include components under their own licenses,
including open-source licenses. Those licenses govern those components and
are not restricted or extended by this License.

## 8. Termination

This License terminates automatically if the Licensee materially breaches it
and does not cure the breach within thirty days of written notice. On
termination the Licensee must stop developing with the Software and destroy
its development copies. Applications already distributed to end users before
termination may continue to operate. Sections 3, 6, 9 and 10 survive
termination.

## 9. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

## 10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR IS NOT LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST
PROFITS, DATA OR BUSINESS, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS
LICENSE. THE LICENSOR'S TOTAL LIABILITY UNDER THIS LICENSE IS LIMITED TO THE
FEES THE LICENSEE PAID FOR THE SUBSCRIPTION IN THE TWELVE MONTHS BEFORE THE
CLAIM AROSE.

## 11. General

This License is the entire agreement about the Software and replaces any
earlier terms. The Licensee may not assign it without the Licensor's written
consent, except to a successor of its whole business. If any provision is
unenforceable, the rest remains in effect. Changes to this License apply only
to versions of the Software released after the change. Governing law and
venue: to be determined before acceptance.
